Terms of Service

Scope of Work:
Resounders LLC agrees to provide services to include the online recording studio, recording and editing of the podcast episodes purchased, supplying the Client with a copy of the raw video files if requested, distributing the podcast episodes to various podcast hosting platforms, providing social media clips for each episode. The Client is responsible for scripting or writing content for each episode and providing their own guests of they choose to have them.

Duration:
This Agreement will remain in effect until either the Client or the Resounders LLC decides to terminate.

Compensation:
This agreement is for hourly use of Resounders LLC and services. Upon submission of this agreement with payment your service will ensue. You agree to be charged until the agreement is terminated. Failure to pay for services will cause the immediate suspension of services until payment is made. If payment is not received within 10 days of overdue notice services will be cancelled.

Ownership and Rights:
All rights to the podcast, including recordings, videos, and content, belong to the Client. Resounders LLC has the right to publish the podcast episodes on related social media properties unless otherwise specifically requested by the Client not to. We may also use examples of your podcast to promote our own services as work examples.

Confidentiality:
Resounders LLC will not disclose any confidential information related to the Client’s podcast or content.

Termination:
The Agreement can be terminated at any time by either the Client or Resounders LLC Request to terminate must be in writing. An email is acceptable. Termination by the host must be received before the next billing date to avoid being charged. Requests received after may be eligible for a refund provided that no new episodes have been recorded. Recording of an episode constitutes engagement of services.

Non-Solicitation. Client agrees to not solicit Resounders LLC’s employees or clients for its or others’ advantage while they are working together, and for one (1) year after termination of this Agreement.

Indemnification. Client agrees to indemnify, defend, and hold Resounders LLC, its shareholders, directors, officers, employees, agents and representatives harmless from and against any and all costs, expenses, attorney’s fees, suits, liabilities, damages, claims, actions, suits or claims for damages, relating in any way to Client’s obligations and requirements under this Agreement, including the following:

(a) any claims made against Company because of music files that Client gives Company;
(b) user violation of terms and conditions set forth by the hosting platform or RSS portal provider; and
(c) any claims against Company relating to the social media content of Client.

The provisions of this paragraph shall survive the expiration or termination of any Agreement.

Limitation of Liability. Client expressly agrees that the maximum liability of Resounders LLC to it, relating in any way to this Agreement or its work under this Agreement shall be limited to the amount of money that Client has paid Resounders LLC.
